DRAFT FOR COUNSEL. NOT LEGAL ADVICE. NOT IN FORCE.
1. Who we are and what these terms cover
These terms govern your use of GW Video (the "Service"), a hosted studio for making AI-generated video. [Selling entity, registered address and company number: to be confirmed.] By creating an account you agree to these terms, the Privacy Policy and the Acceptable Use Policy, which forms part of these terms.
2. Who may use the Service
You must be 18 or older. [At launch the Service is offered for business and professional use only.] If you sign up for an organisation, you confirm you may bind it, and that its total annual revenue including affiliates is under US$10 million unless it holds its own commercial licence for the underlying model. You may not use the Service from a comprehensively sanctioned country or region, or if you are a sanctioned person. One account per person; no more than two devices at the same time.
3. Studio Hours
You buy prepaid Studio Hours. A Studio Hour is 60 minutes of studio time, billed per second. Your clock runs while you are working in the studio or one of your videos is rendering. It stops automatically when you step away (we stop charging from your last activity), while your videos wait behind other customers' videos or go through our safety checks, and whenever our platform is down or warming up. Every session has a time statement listing each segment and why it was or was not charged.
Your first purchase is a 1-hour pack. Hours have no cash value, cannot be transferred, and [expire 12 months after purchase: counsel to confirm per market]. If your balance reaches zero during a render, the render finishes; overrun up to 10 minutes is absorbed by us. You cannot start a render whose estimated time exceeds your balance plus 2 minutes.
4. Payment, refunds and credits
Payments are processed by Stripe. Prices are in US dollars and exclude tax unless stated. You may ask for a refund of unused hours within 14 days of purchase, pro rata to the unused seconds of that purchase. If a render fails because of us, the time it used is credited back automatically. Cancelling a render charges the render time up to the cancel; cancels under 10 seconds are free. [Consumer withdrawal rights, if consumers are admitted: to be drafted by counsel.]
5. Your content and outputs
You keep whatever rights you have in your prompts and uploads. You give us the permissions we need to run the Service on them: storing, processing on our GPU providers' machines, checking them for safety, and showing them back to you. As between you and us, we assign to you whatever rights we have in the videos you generate, without any promise that they are exclusive, original or protected by copyright. We do not use your content to train models unless you opt in separately.
6. AI labelling and provenance
Every video carries machine-readable provenance (C2PA and IPTC metadata) stating that it was AI-generated, and may carry invisible watermarks. You must not remove, alter or obscure these, and you must label AI content where the law requires it. You must pass these obligations on to anyone you give the videos to.
7. Safety review
We check prompts, uploads and outputs automatically, and staff may review them for safety, support and billing. Blocked renders are not charged. You can appeal a decision. Breaking the Acceptable Use Policy can lead to strikes, suspension or termination, and serious cases (such as child sexual abuse material) are reported to the authorities.
8. Retention
We keep your videos for 90 days and your uploads for 30 days, then delete them. We keep your prompt and job history for the life of your account plus 12 months. Billing records are kept as the law requires. Download anything you want to keep.
9. The model
The Service runs third-party AI models under their licences. We may change or replace models. The model licensor's use restrictions apply to you through the Acceptable Use Policy.
10. Warranties, liability and indemnity
[To be drafted by counsel: service provided "as is"; liability cap; exclusions; your warranties that you have the rights and consents for your uploads; your indemnity for claims arising from your content or your breach.]
11. Suspension and termination
You can close your account at any time. We may suspend or close accounts that break these terms, are involved in fraud or chargeback abuse, or as the law requires. [Refund of unused hours on termination: counsel to confirm.]
12. Changes
If we change these terms materially, we will ask you to accept the new version before you continue. Your library stays available to you meanwhile.
13. Governing law and disputes
[To be decided with the selling entity.]
